Name

The association shall be named; "Manitoba Goat Association".

By-Laws
Objectives

The Association shall encourage, promote and develop the goat industry in Manitoba.

The Association shall actively encourage membership from all peoples interested in pursuing goats as pets, dairy, meat and fibre animals.

The Association shall be available to help members obtain information on all aspects of goats in Manitoba and Canada. We shall provide information on the registration and recordation of animals as set out by The Canadian Livestock Records and the Canadian Boer Goat Association.

The Association shall endeavor to actively promote and educate the general public as to the value of goats- whether it be meat, milk or by-products, as much and as often as we can.

Members

Honorary Life Members

The Association shall appoint certain members as Honorary Life Members for outstanding service to the Association and the goat industry in general. This Honorary Life Member will be given a life membership in the Manitoba Goat Association. This person will be nominated by the Board of Directors and be voted on at a general meeting.

Annual Members

Annual members of the Manitoba Goat Association shall be any individual person, farm or business that pays the required yearly membership fee.

Annual Minor Members

Annual minor membership in the Manitoba Goat Association shall be for anyone under the age eighteen (18) that is interested in the betterment of goats in the province of Manitoba, Canada and the World. Membership fees shall be $5.00 less than the regular Annual Member fee. The Annual Minor Member shall not be entitled to any voting privileges.

No member who is in arrears of membership fees shall enjoy the privileges of the Association.

The financial liability of the member to the Association shall be limited to the amount due from him in respect to his membership fees.

A member may, provided he is not in arrears, at any time resign from membership in the Association by giving the President notice in writing of his intention to do so, but membership shall not terminate until the end of the then current membership year.

No member shall be entitled to the rights and privileges of the Association during any year until his annual fee for that year is paid.

On April 1st of each year, all members who have paid the preceding year, but who have not paid for the then current year shall be removed from the membership roll.

They may again become members upon payment of the current year membership fees.

No member shall hold office or be entitled to vote at a meeting, if they are in arrears of membership fees payment.

The membership year of the Association shall be April 1st to March 31st. Memberships received after February 15th in the current year will be applied towards membership in the upcoming year.

Offices

The affairs of the Association shall be managed by a board of directors.

The board of directors for the Manitoba Goat Association shall consist of;

  1. President

  2. Vice President

  3. Secretary

  4. Treasurer

The board of directors shall be voted into office by the general membership of the Association.

The positions of President and Secretary will be voted on every three years and the position of Vice-President and Treasurer will be voted on every two years at the Annual Meeting.

In case of a tie vote, the candidate who has been a member of the Association the longest shall be elected. Anyone holding a position of Office shall have been a member in good standing for at least one year.

Special Committees

Special committees shall be formed by and filled by members as appointed by the Board of Directors.

Committees shall be formed as the Board of Directors sees fit. E.G. Membership Committee, Constitution Committee etc.

All decisions made by committees must be presented in writing to the Board of Directors before any action being taken on them.

The Board of Directors shall appoint representatives to sit on various fair boards, Department of Agriculture livestock boards, ect. as required.

Meetings

The Annual Meeting or other general meetings shall be held at the time and place fixed by the Board of Directors.

A notice of at least twenty (20) days in advance shall be published.

A copy of The Annual General Meeting should be sent to the local Agricultural Representative as well as the head of the Animal Science Offices at the University of Manitoba to enable them to attend if possible and to inform The General Membership of any changes/or anything of interest to the Goat Owners of this Province.

A meeting of The Board of Directors can be formed anytime deemed necessary by all the members of The Board of Directors.

Minutes at all meetings must be kept, whether it be a General Meeting or a Board of Directors meeting. These minutes will be made available to all members in good standing upon request for same.

If members can not attend a voting meeting and wish to vote can appoint a proxy. The proxy has to be in writing and is only valid at the meeting of which it is given. The proxy formed must be signed and dated by the member.

For the transaction of the business of the Association at an Annual or other meeting a quorum shall be five; at a meeting of The Board of Directors a quorum shall be three.

Any director who is not able to be present at a meeting shall be considered present and voting on any subject upon which he sends his opinion in writing and his consent thereon. His consent shall be entered into the minutes.

Order of Business

The order of business at all Annual and General Meetings shall be as follows;

  1. Identification of members
  2. Reading minutes of previous meeting
  3. Report of Offices, Directors and Committees
  4. Correspondence
  5. Unfinished Business
  6. If Annual Meeting, election of Officers and Directors
  7. New Business
  8. Adjournment
Expenses, Income and Property

The income and property of the Association from whatever source derived, shall be applied solely towards the promotion of the objectives of the Association.

The Association shall cause a book to be kept by the Secretary wherein shall be contained a copy of the constitution so that persons becoming members of the Association may at all reasonable times examine the same.

Membership Fees

Membership fees shall be paid to the Treasurer of the Association.
